Last updated: October 19, 2026
1. Acceptance of these Terms
These Terms of Use (the “Terms”) govern your access to and use of the website at imagene-ai.com and any page, form or content made available on it (the “Website”). The Website is operated by Imagene AI Ltd. and its affiliates (“Imagene”, “we”, “us” or “our”).
By accessing or using the Website, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Website. If you use the Website on behalf of an organization, you confirm that you are authorized to accept these Terms on its behalf, and “you” includes that organization.
These Terms apply to the Website only. Imagene’s products and services, including the OI Suite, laboratory testing and research collaborations, are provided under separate written agreements. If such an agreement conflicts with these Terms, that agreement governs.
2. About Imagene and the Website
Imagene develops artificial intelligence (AI) solutions for precision oncology. Our models analyze digital pathology images together with molecular and clinical data to support research, drug development and clinical decision-making. The Website provides general information about Imagene, our products, scientific publications, news and careers, and lets you contact us, request consultations and request access to materials.
3. No medical advice
Content on the Website is provided for general informational purposes only and is intended mainly for healthcare professionals, researchers, and pharmaceutical and biotechnology organizations. It is not medical advice and does not replace the professional judgment of a qualified healthcare provider. Do not use the Website to diagnose or treat any condition, and do not delay seeking medical care because of something you read on it.
The Website does not create a physician–patient or any other professional relationship. If you are a patient, please discuss any questions about testing or treatment with your physician.
Do not submit health information about yourself or anyone else through the Website’s forms. The forms are intended for business inquiries only.
4. Product information and regulatory status
Our products have different regulatory statuses, and those statuses can differ between countries. Some products are labeled For Research Use Only (RUO) and are not intended for use in diagnostic procedures. Some tests are performed as laboratory developed tests (LDTs) in a CLIA-certified, CAP-accredited laboratory and have not been cleared or approved by the U.S. Food and Drug Administration (FDA). Other products are under development and have not been cleared or approved by any regulatory authority. The regulatory status shown next to a product on the Website applies to that product.
Information about a product on the Website is not an offer to sell, or a solicitation to buy, that product in any jurisdiction where it is not authorized. Availability, intended use and performance claims are defined only in the applicable product labeling, documentation or agreement.
5. Eligibility
You must be at least 18 years old, and legally able to enter into a binding agreement, to use the Website. You may not use the Website if applicable law, including export control and sanctions laws, prohibits you from doing so.
6. License to use the Website
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable license to access and view the Website, and to download or print a reasonable number of pages, for your own informational, professional or research purposes. Any copy you make must keep all copyright and other proprietary notices.
This license ends automatically if you breach these Terms. We may restrict or end your access to the Website, or to any part of it, at any time.
7. Acceptable use
You must use the Website lawfully and in good faith. You must not:
- copy, modify, distribute, sell or create derivative works from the Website or its content, except as these Terms allow;
- use robots, spiders, scrapers or other automated means to access, collect or index the Website or its content, including to build datasets or to train, fine-tune or evaluate machine learning or AI models, without our prior written consent;
- decompile, reverse engineer or otherwise try to derive the source code or underlying models of any part of the Website or our products, except where applicable law expressly allows it;
- try to probe, scan or test the vulnerability of the Website, bypass any security, access-control or anti-spam measure (including CAPTCHA or bot-detection checks), or access areas or materials you are not authorized to access;
- upload or transmit viruses, malware or other harmful code, or interfere with, overload or disrupt the Website or the servers and networks that host it;
- submit false, misleading or third-party information, impersonate any person or organization, or misrepresent your affiliation with any person or organization;
- send spam or unsolicited commercial messages through the Website;
- use the Website to infringe or misappropriate the rights of others, including intellectual property, privacy and publicity rights; or
- use the Website in a way that violates any applicable law or regulation, or help anyone else do any of the above.
8. Information you submit
When you complete a form on the Website (for example, to contact us, request a consultation, start a proof-of-concept discussion, download a data file or request a publication), you agree to give accurate, current and complete information, including a valid work email address where requested. We may decline or ignore any request at our discretion.
We handle personal data that you submit as described in our Privacy Policy. Do not submit confidential information through the Website. Unless we have agreed otherwise in a signed confidentiality agreement, we will treat information you submit through the Website as non-confidential.
If you send us ideas, suggestions or other feedback about the Website or our products (“Feedback”), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use that Feedback for any purpose, without any obligation or compensation to you.
9. Publications and requested materials
Some publications, posters, data files and other materials are available only on request. Materials we provide are for your own research or professional evaluation. You must not redistribute or publish them, or use them for commercial purposes, without our written consent. You must also follow any additional terms or notices that come with the materials, including the license of the original publisher. Scientific publications reflect the data and conclusions available when they were written, and they may describe uses that are not cleared or approved.
10. Intellectual property
The Website and its content, including text, graphics, images, videos, software, data, page layouts and the way they are selected and arranged, belong to Imagene or its licensors. They are protected by copyright, trademark, patent, trade secret and other laws. The Imagene name and logo, and the names of our products, are trademarks of Imagene or its affiliates. Other trademarks on the Website belong to their respective owners.
Except for the limited license in these Terms, you receive no right, title or interest in the Website or its content. You may not use our names, logos or trademarks without our prior written consent. All rights not expressly granted are reserved.
11. Third-party content and links
The Website may include content from third parties, for example journal articles, embedded videos and job listings. It may also link to websites and services that Imagene does not operate, such as journal publishers, conference organizers, social networks and our recruitment provider. We provide these links for convenience only. We do not control or endorse third-party content and are not responsible for it, and your use of third-party websites is governed by their own terms and privacy policies.
12. Forward-looking statements
Press releases, news items and other content on the Website may contain forward-looking statements about our plans, products, regulatory submissions, collaborations and expected performance. These statements are based on our expectations when they were made. They involve risks and uncertainties, and actual results may differ materially. Content is current only as of its date of publication, and we do not undertake to update it.
13. Privacy
Our Privacy Policy explains how we collect and use personal data through the Website, and our Cookies Policy explains our use of cookies. Both form part of these Terms.
14. Disclaimers
THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, IMAGENE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND COMPLETENESS. We do not warrant that the Website will be uninterrupted, secure or error-free, or that it is free of viruses or other harmful components. You use the Website at your own risk.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IMAGENE AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE WEBSITE OR THESE TERMS. THIS APPLIES WHATEVER THE LEGAL THEORY, AND EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow certain warranties or liabilities to be excluded or limited. In those jurisdictions, the exclusions and limitations above apply only to the extent the law permits. Nothing in these Terms limits liability that cannot be limited under applicable law.
16. Indemnification
You agree to indemnify and hold harmless Imagene and its affiliates, directors, officers, employees and agents from any claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, that arise from your breach of these Terms, your misuse of the Website, or your violation of any law or of any third party’s rights.
17. Changes and suspension
We may change, suspend or discontinue the Website, or any part of it, at any time and without notice. We may also update these Terms from time to time. The “Last updated” date at the top of this page shows when they last changed. Changes take effect when they are posted. If you continue to use the Website after a change, you accept the updated Terms.
18. Governing law and jurisdiction
These Terms are governed by the laws of the State of Israel, without regard to its conflict of laws rules. The competent courts in Tel Aviv-Jaffa, Israel, have exclusive jurisdiction over any dispute arising out of or relating to the Website or these Terms, and you consent to their jurisdiction. However, we may seek injunctive or other equitable relief in any court of competent jurisdiction. If you are a consumer, this clause does not deprive you of any mandatory protection under the laws of the country where you live.
To the extent permitted by law, any claim relating to the Website must be brought within one (1) year after it arises; otherwise the claim is permanently barred.
19. General
These Terms, together with the Privacy Policy and the Cookies Policy, are the entire agreement between you and Imagene about the Website. If any provision is found unenforceable, it will be enforced to the maximum extent possible, and the remaining provisions stay in full effect. If we do not enforce a provision, we have not waived our right to enforce it later. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate. We may give you notices through the Website or by email.
